Terms of Service

1. Introduction and Acceptance

These Terms of Service govern your access to and use of the website, communications, estimates, scheduling tools, and roofing-related services offered by Heritage Crest Roofing. By visiting our website, requesting an estimate, communicating with us, or engaging us to provide services, you agree to these Terms. If you do not agree, you should not use our website or request services from us.

Heritage Crest Roofing provides roofing information, inspections, estimates, repairs, replacements, maintenance, and related exterior services as described in written proposals, invoices, work orders, or other project documents. These Terms apply to general use of our website and business communications. A separate written contract, proposal, warranty document, financing document, or change order may also apply to a specific project. If a signed project agreement conflicts with these Terms, the signed project agreement will control for that project to the extent of the conflict.

2. Service Description

Heritage Crest Roofing offers roofing and related services that may include roof inspections, roof repair, roof replacement, leak diagnosis, storm damage assessment, gutter or flashing work, ventilation assessment, maintenance, and project consultation. The exact scope, materials, schedule, price, and any warranty terms for a particular job will be set out in a written estimate, proposal, invoice, or service agreement.

Information on our website is provided for general informational purposes only. It is not a guarantee that any particular roofing system, repair method, product, material, code interpretation, insurance outcome, rebate, or financing option is available or appropriate for your property. Roofing conditions can vary significantly based on age, structure, weather exposure, prior work, building code requirements, hidden damage, and manufacturer specifications.

Estimates may be based on information provided by you, visible conditions, photographs, measurements, satellite or aerial imagery, or site visits. Unless expressly stated in writing, an estimate is not a final fixed-price contract and may be revised if hidden conditions, code requirements, material changes, access restrictions, structural issues, or customer-requested changes are discovered.

3. Eligibility and Customer Responsibilities

By requesting services, you represent that you are at least 18 years old and have authority to request work at the property identified. If you are acting on behalf of a property owner, association, company, landlord, tenant, or other party, you represent that you have permission to do so and to provide information to us.

You agree to provide accurate, current, and complete information, including your name, contact details, property address, project needs, known hazards, existing leaks, prior repairs, roof access information, and any relevant building restrictions. You are responsible for notifying us of fragile surfaces, electrical hazards, pets, tenants, security systems, access limitations, asbestos or mold concerns, historical property restrictions, cooperative or condominium rules, and any special requirements affecting the work.

You agree to provide reasonable access to the property at scheduled times, clear work areas when requested, protect valuables and personal property, and cooperate with reasonable safety instructions. You should not enter active work zones without permission. Roofing work may involve falling debris, noise, dust, vibrations, odors, temporary exposure to weather, and other normal construction conditions.

4. Estimates, Scheduling, Payments, and Changes

Pricing, deposits, payment milestones, taxes, fees, and accepted payment methods will be described in the applicable written estimate, proposal, invoice, or agreement. Unless otherwise stated in writing, prices may not include permit fees, engineering reports, decking replacement, concealed damage, structural repairs, hazardous material remediation, interior repairs, or work outside the stated scope.

Scheduling is subject to weather, material availability, labor availability, permitting, inspections, safety conditions, emergency work, and other factors beyond our reasonable control. We will make reasonable efforts to meet projected timelines, but dates are estimates unless expressly stated as guaranteed in a signed written agreement.

Any change to the scope of work, materials, timing, or site conditions may require a written change order, revised estimate, additional charges, or schedule adjustment. If hidden or unsafe conditions are discovered, we may pause work until the condition is evaluated and an appropriate change is approved. Failure to make required payments may result in suspension of services, collection activity, interest or late charges where permitted by law, cancellation of warranties, or other remedies described in the applicable agreement or allowed by law.

5. Permits, Codes, Insurance, and Property Conditions

Roofing projects may be subject to building codes, permits, inspections, manufacturer installation standards, homeowner association rules, cooperative or condominium approvals, landmark or historic district requirements, and other governmental or private restrictions. The party responsible for permits and approvals will be stated in the project documents. If not stated, you remain responsible for confirming any private restrictions, association approvals, tenant notices, and owner permissions that apply to your property.

We are not responsible for pre-existing defects, improper prior work, inadequate ventilation, structural weakness, rot, mold, pests, concealed water damage, code violations, asbestos-containing materials, hazardous substances, electrical hazards, or other conditions that existed before our work began or were outside our scope of work. Discovery of such conditions may require additional work by us or by a third party at additional cost.

If you pursue an insurance claim, you are responsible for communicating with your insurer, understanding your policy, paying any deductible, and approving work. We may provide documentation or estimates when requested, but we do not guarantee claim approval, coverage amounts, insurer timelines, or policy interpretation.

6. Website Use and Prohibited Conduct

You may use our website and online forms only for lawful purposes related to learning about or requesting our services. You agree not to misuse the website, interfere with its operation, attempt to gain unauthorized access to systems, submit false or misleading information, use automated scraping tools, upload malicious code, impersonate another person, or use the website to harass, defame, threaten, or violate the rights of others.

You may not copy, reproduce, sell, resell, exploit, or commercially use our website content, branding, photographs, text, designs, or service descriptions without our prior written permission, except for personal, noncommercial use in evaluating our services. We may suspend or restrict access to the website if we believe use violates these Terms or may harm us, our customers, our service providers, or the public.

Standard message and data rates may apply. You may opt out of promotional communications where applicable, but we may still send non-promotional communications related to your request or project.

You agree that electronic communications, electronic signatures, online form submissions, emails, estimates, invoices, and other electronic records may satisfy any legal requirement that communications or records be in writing, to the extent permitted by law. You are responsible for maintaining current contact information and reviewing communications we send to you.

If you send photographs, videos, measurements, insurance documents, or other materials to us, you represent that you have the right to provide them and that they are accurate to the best of your knowledge. You grant us permission to use those materials for evaluating your request, preparing estimates, performing services, documenting work, and communicating with you or relevant project participants.

8. Warranties and Disclaimers

Any workmanship warranty, manufacturer warranty, product warranty, or service guarantee will be provided only if stated in a written agreement, warranty document, proposal, or invoice. Warranty coverage may be subject to exclusions, maintenance requirements, proper ventilation, timely payment, approved materials, normal wear and tear, weather events, third-party damage, unauthorized repairs, structural movement, and other conditions.

Except as expressly provided in a written agreement, our website and general information are provided on an as is and as available basis. To the fullest extent permitted by law, Heritage Crest Roofing disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability.

No verbal statement, website content, advertisement, photograph, general educational material, or informal message creates a warranty unless included in a written agreement signed or otherwise accepted by an authorized representative of Heritage Crest Roofing. Some states do not allow limitations on implied warranties, so certain limitations may not apply to you.

9. Limitation of Liability

To the fullest extent permitted by law, Heritage Crest Roofing and its owners, employees, contractors, suppliers, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of use, business interruption, loss of data, inconvenience, or emotional distress, arising out of or related to your use of our website, communications with us, or services provided, even if we have been advised of the possibility of such damages.

To the fullest extent permitted by law, our total liability for claims arising from or related to a specific project will not exceed the amount actually paid to Heritage Crest Roofing for the portion of work giving rise to the claim. For website or non-project claims, our total liability will not exceed one hundred dollars. These limitations apply regardless of the legal theory, including contract, tort, negligence, strict liability, warranty, or statute.

Nothing in these Terms is intended to limit liability that cannot be limited under applicable law, including liability for gross negligence, willful misconduct, or other non-waivable rights. Your rights may vary by state and by the terms of any separate written project agreement.

10. Indemnification

You agree to indemnify, defend, and hold harmless Heritage Crest Roofing and its owners, employees, contractors, suppliers, and representatives from and against claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys fees, arising out of or related to your breach of these Terms, your misuse of the website, your inaccurate information, your lack of authority to request work, your failure to disclose known property hazards, your violation of law, or your infringement of another person rights.

This indemnification obligation does not require you to indemnify us for our own gross negligence or willful misconduct where prohibited by law. We reserve the right to assume control of the defense of any matter subject to indemnification, and you agree to cooperate with the defense and not settle any claim in a way that imposes obligations on us without our written consent.

11. Disputes, Governing Law, and Venue

These Terms and any dispute arising out of or related to them, our website, communications, or services will be governed by the laws of the State of New York and applicable federal law, without regard to conflict of law rules. If a separate written project agreement specifies a different dispute process or venue, that agreement will control for that project.

Before filing a claim, you agree to contact us at estimates@heritagecrestroofing.com and provide a reasonable description of the issue, the property address if applicable, relevant documents, and the relief requested. We will make a reasonable effort to address concerns informally. Many roofing issues require inspection, documentation, or coordination with manufacturers, suppliers, insurers, or building officials.

Subject to any non-waivable rights and any separate written agreement, legal actions arising under these Terms will be brought in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction and venue in those courts. Claims must be brought within the time period required by applicable law. Nothing in these Terms prevents either party from seeking emergency injunctive relief or pursuing payment collection remedies where permitted.

12. Changes to These Terms and General Provisions

We may update these Terms from time to time. The updated version will be posted with a new effective date. Your continued use of our website or request for services after updated Terms are posted means you accept the updated Terms, except where additional notice or consent is required by law.

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable or removed if modification is not permitted. Our failure to enforce any provision is not a waiver of our right to enforce it later.

You may not assign your rights or obligations under these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, sale of assets, reorganization, or transfer of business operations. These Terms, together with any applicable written estimate, proposal, invoice, warranty, or project agreement, form the relevant agreement between you and Heritage Crest Roofing for the matters they cover.
